Well-balanced corporate governance

The Supervisory Board of BPCE is comprised of 19 members: 7 members from the Caisses d'Epargne, 7 members from the Banque Populaire banks, 3 independent members and 2 employees’ representatives, appointed by the trade unions representing Group employees.
The role of the Supervisory Board is to maintain constant oversight over the managerial activities of the Management Board. This oversight includes monitoring the appropriateness of actions taken and their regulatory compliance. The cooperative shareholders are represented on the Supervisory Board by the Chairmen of the Banque Populaire banks Boards of Directors and by the Chairmen of the Caisses d’Epargne Steering and Supervisory Boards.

Four specialized committees assist the Supervisory Board in its deliberations and decisions. All the committees have an equal number of representatives from the Caisse d'Epargne and Banque Populaire retail banking networks.

Appointments

The Appointments Committee is responsible for submitting proposals to the Board for the appointment of the Chairman of the company’s Management Board in addition to proposals for the choice of members of the Supervisory Board and non-voting directors (censeurs), who are appointed from outside the Group, it being stipulated that Supervisory Board members from within Groupe BPCE are proposed to the Board in keeping with the company’s Articles of Association and Article L. 512-106 of the French Monetary and Financial Code. The Appointments Committee is also responsible for conducting the Supervisory Board’s evaluation process.

 The Appointments Committee is chaired by one of its independent members.

Remuneration

The Remunerations Committee is responsible for making proposals to the Board concerning the remuneration levels and methods applied to members of the Management Board, the Chairman of the Supervisory Board and, if necessary, the Vice-Chairman as well as the allocation of attendance fees to be distributed to the individual directors.

The Remuneration Committee is chaired by one of its independent members.

Audit

The Audit Committee is responsible for monitoring the process used to prepare financial information, for overseeing the statutory audit of the annual and consolidated financial statements carried out by the statutory auditors, and for ensuring the independence of these statutory auditors.

Risk Committee

The Risk Committee is responsible for advising the Supervisory Board regarding the company’s global strategy and its risk appetite. The Committee is also responsible for assessing the efficacy of internal control and risk management systems.
